1. Payments through Waypoint
Subcontractors receive 100% of what they are paid — Waypoint never deducts a percentage from a subcontractor's payment. Waypoint charges the general contractor a flat fee per draw for payment processing, approval routing, and lien waiver handling. Payments made off-platform require written opt-out by both the GC and the subcontractor and may not be enforced within Waypoint.
2. Lien Waivers via State Machine
Conditional and unconditional lien waivers are issued automatically by Waypoint at progress and final milestones respectively. Paper waivers delivered outside the Waypoint platform do not satisfy lien waiver obligations recorded herein.
3. Change Orders Binding Only if Logged
A change order is legally binding only when both parties have approved it within Waypoint. Verbal agreements, text messages, or out-of-platform approvals do not constitute binding change orders under these Terms.
4. Daily Progress + Weekly Status
Subcontractors commit to uploading daily progress logs and submitting weekly status pings within Waypoint for each active project. GCs commit to reviewing and responding to status updates within two (2) business days.
5. Anonymized Data for AI Training
Users agree that Waypoint may collect, retain, and use anonymized and aggregated job data — including labor hours, material quantities, schedule durations, and cost outcomes — to train and improve its AI models. No personally identifiable information or client-identifying data will be used without separate written consent.
6. Mutual Rating at Completion
Upon project completion, GCs rate subcontractors on quality, schedule adherence, communication, and safety. Ratings are aggregated into the subcontractor's Waypoint Verification badge and are visible to other GCs on the platform. Ratings must be submitted within 30 days of project close.
7. In-Platform Records as Canonical
All records created within Waypoint — including messages, approvals, lien waivers, change orders, progress logs, and payment releases — constitute the canonical record for any dispute resolution, audit, or legal proceeding. Waypoint maintains immutable audit logs with timestamps.
8. Suspension for Non-Compliance
Waypoint reserves the right to suspend or terminate platform access for any user who repeatedly violates these Terms, fails to maintain required insurance or licensing, or engages in behavior that threatens platform integrity. Suspension may occur with 24 hours' notice except in cases of immediate risk.
